Terms of Service

These Terms of Service ("Terms") govern your access to and use of UGCOrigin (the "Platform"), operated by Dream Intrepid Ltd. ("UGCOrigin", "we", "us"). By creating an account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.

1. Who we are

UGCOrigin is a two-sided marketplace that connects brands with verified, human creators for original user-generated content ("UGC"). We provide the marketplace, identity verification, escrow-protected payments, messaging and dispute support. We are not a party to the agreement for content between a brand and a creator, except as expressly set out for escrow and dispute resolution.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. You must provide accurate information and keep it current. One person may hold both a brand account and a creator account on the same email, as distinct profiles; you may not use the Platform to hire your own creator profile.

3. Accounts and verification

You are responsible for activity under your account and for keeping your credentials secure. We may require identity, bank or business verification before you can go live, receive payouts, or transact. We may refuse, suspend or remove accounts that breach these Terms or present risk to the community.

4. Human, original content only

UGCOrigin is for original content made by real humans. Passing off AI-generated or third-party content as your own, misrepresenting your identity, or using stolen or recycled media is prohibited and may result in strikes, loss of ranking, or removal.

5. Fees and payments

Creators keep 100% of the rate they set. Brands pay a flat service fee on top of the creator's rate, always shown before funding. Deals are funded into escrow and released on approval. Full detail is in Fees & payments and How escrow protects you.

6. Conduct

You agree not to: circumvent the Platform to take funded deals off-platform; share contact details to avoid escrow before a contract is funded; harass, defraud or impersonate others; post unlawful, infringing or harmful content; scrape, probe or disrupt the Platform. Repeated attempts to move deals off-platform may lead to strikes or suspension.

7. Content, licences and usage rights

Creators retain ownership of content they create unless they agree otherwise in a deal. The usage rights a brand receives (scope, duration, platforms, exclusivity) are those stated in the brief or package the brand funded. You are responsible for ensuring you have the rights to everything you submit, including music, trademarks and the likeness of any person featured.

8. Disputes

If a deal goes wrong, either party may open a dispute before completion. Our Trust & Safety team reviews it against the written brief and decides how the held escrow is allocated. Escrow stays held until the dispute is resolved. Our decision on escrow allocation is final for the funds we hold.

9. Physical products

Where a deal involves shipping a physical product, the parties arrange delivery between themselves using a courier of their choice. UGCOrigin is not the carrier and is not liable for loss, damage or delay. Follow the safety guidance shown in the gig.

10. Disclaimers and liability

The Platform is provided "as is". To the fullest extent permitted by law, UGCOrigin is not liable for indirect or consequential losses, and our total liability for any claim is limited to the fees we earned on the deal giving rise to the claim. Nothing limits liability that cannot be limited by law.

11. Suspension and termination

You may close your account at any time. We may suspend or terminate access for breach of these Terms, risk, or legal reasons. Obligations that by their nature survive termination (including payment, usage rights already granted, and liability) continue.

12. Changes

We may update these Terms. Material changes will be notified in-app or by email. Continued use after changes take effect means you accept them.

13. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction, without prejudice to any mandatory consumer protections in your location.
